With reference to current ESPI report No. 19/2025 dated October 27, 2025, regarding the commencement of a strategic review, the Management Board of Hemp&Health S.A., with its registered office in Warsaw (the Issuer), hereby announces the conclusion of the strategic review process.
The Issuer’s Management Board, leveraging the experience gained during the implementation of projects related to the defense sector, including activities conducted within Niewiadów Polska Grupa Militarna S.A., has conducted a review of strategic options regarding the Issuer’s further development. As a result of the analyses performed, the Management Board concluded that the most advantageous direction for development will be to commence operations in the defense sector. The Management Board assesses that its existing competencies, experience, and network of business contacts provide a foundation for effectively conducting operations in this area. At the same time, the possibility of establishing cooperation with domestic and foreign entities already operating in the defense market has been identified.
In the Management Board’s assessment, commencing operations in the defense sector will allow the Issuer to optimally utilize its competencies and resources, as well as growing market demand, providing significant, predictable, and recurring revenues, which should translate into an increase in the value of the Issuer and its shares. At the same time, the Management Board assesses that there is a realistic chance of obtaining the funds necessary to finance such activities.
The Management Board indicates that commencing operations in the defense sector will require organizational, operational, and business measures, including, among others: adapting the Issuer’s business name and articles of association to the new operations. The Management Board will propose the necessary changes to the shareholders. The Issuer will provide information regarding significant plans or events related to the commencement of operations in the defense sector in subsequent reports.
